Terms of Service

Welcome to Iolite Softwares Private Limited ("Iolite," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our Legal Software Suite and related services (collectively, the "Services"). By accessing or using our Services, you agree to these Terms. If you do not agree, do not use our Services.

1. Definitions

• "Client" refers to any individual or entity using our Services.
• "Software" refers to the Legal Software Suite provided by Iolite.
• "Data" refers to any information, records, or materials provided, uploaded, or processed through our Services.

2. License & Access

• Subject to compliance with these Terms, we grant the Client a non-exclusive, non-transferable, limited license to use the Software solely for business purposes.
• Clients shall not sublicense, sell, rent, or distribute the Software.

3. Client Responsibilities

• The Client is responsible for maintaining the confidentiality of login credentials.
• The Client shall not use the Services for any unlawful or unauthorized purpose.
• The Client shall ensure that their use of the Services complies with all applicable laws and regulations.

4. Intellectual Property

• All intellectual property rights in the Software, including but not limited to copyrights, trademarks, and trade secrets, remain the exclusive property of Iolite.
• Clients retain ownership of their own data uploaded to the Software.

5. Data Privacy & Security

• We implement industry-standard security measures to protect client data.
• Clients acknowledge and agree to our Privacy Policy regarding data collection, usage, and storage.
• Iolite shall not be liable for unauthorized access due to Client negligence.

6. Fees & Payment

• Fees for the Services are outlined in separate agreements or invoices.
• Failure to make timely payments may result in suspension or termination of Services.

7. Service Availability & Support

• Iolite strives to maintain high availability of the Services but does not guarantee uninterrupted operation.
• Technical support is provided as per the terms in the Client's agreement.

8. Termination

• Either party may terminate the agreement with prior notice as specified in their contract.
• Upon termination, the Client must cease use of the Software, and access to the Services may be revoked.
• No refunds shall be provided for prepaid fees unless explicitly agreed upon.

9. Limitation of Liability

• Iolite shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Services.

10. Indemnification

• The Client agrees to indemnify and hold harmless Iolite from any claims, damages, or liabilities resulting from misuse of the Services.

11. Modifications to Terms

• We reserve the right to modify these Terms at any time. Clients will be notified of significant changes.
• Continued use of the Services after modifications constitutes acceptance of the revised Terms.

12. Governing Law & Dispute Resolution

• These Terms shall be governed by the laws of India.
• Any disputes shall be resolved through arbitration in Ahmedabad, Gujarat, India, per the Arbitration and Conciliation Act, 1996.
